Baklava Nights is a subsidiary brand and venture of Baklava Ventures Ltd. By purchasing, possessing, receiving, using, transferring, presenting, or attempting to use a ticket for any Baklava Nights event, attendees agree to be legally bound by these Terms and Conditions:

2.1 Acceptance of Terms

By purchasing, possessing, receiving, using, transferring, presenting, or attempting to use a ticket for any Baklava Nights event, the attendee agrees to be legally bound by these Terms and Conditions.

Any person who does not agree to these Terms must not purchase or use a ticket.

2.2 Commercial Status and Profit Motive

Baklava Nights is a commercial venture operated for profit. Community participation, guest appearances, and collaborative contributions do not convert the event into a non-profit, joint venture, partnership, or collective enterprise. Attendance or contribution to Baklava Nights does not confer any ownership, equity, or revenue-sharing rights to any participant.

2.3 Voluntary Contributions and No Obligation

Any individual who offers services, artistic performances (including DJing, hosting, or performing), entertainment concepts, equipment, or promotional support on a voluntary basis does so at their own sole expense and discretion. Baklava Nights assumes no financial, legal, or administrative obligations to any voluntary contributor. Such contributions do not establish an employment, contractor, agency, or partnership relationship between the contributor and Baklava Nights.

2.4 Age Requirement

All events are strictly restricted to persons aged 18 years or older.

Valid government-issued identification may be required.

The Organizer reserves the right to refuse entry to any person who fails to provide satisfactory proof of age.

No refund shall be due where entry is refused for failure to comply with age verification requirements.

2.5 Right of Admission Reserved

The Organizer and/or Venue reserve the absolute right to refuse admission, deny entry, remove, eject, or permanently ban any attendee for any reason deemed necessary for safety, security, operational, reputational, or legal purposes.

This includes but is not limited to:

• intoxication;
• aggressive behavior;
• harassment;
• threats;
• violence;
• possession of prohibited items;
• violation of venue rules;
• disorderly conduct;
• unlawful activity;
• conduct likely to disturb other attendees.

Removal from an event shall not create any entitlement to compensation or refund.

2.6 Tickets

Tickets remain revocable licenses until entry is granted.

The Organizer may cancel, void, invalidate, suspend, or refuse any ticket reasonably suspected of:

• fraud;
• unauthorized resale;
• duplication;
• chargeback activity;
• payment disputes;
• misuse;
• unlawful acquisition.

Only the first ticket scanned may be accepted. Possession of a ticket does not guarantee admission.

2.7 Chargebacks and Payment Disputes

Any attendee initiating a chargeback, payment reversal, banking dispute, or payment recovery action without legitimate legal grounds may:

• have tickets voided;
• be refused future entry;
• be permanently banned;
• be pursued for administrative, legal, collection, and enforcement costs.

The Organizer reserves the right to submit ticket records, access logs, scan records, correspondence, photographs, video recordings, witness statements, and transaction records in defense of any dispute.

2.8 Refunds

Unless required by applicable law:

• all ticket sales are final;
• tickets are non-refundable;
• tickets are non-exchangeable.

Failure to attend does not create refund rights. Travel expenses, accommodation expenses, transportation costs, parking costs, personal expenses, and other consequential costs shall never be reimbursed.

2.9 Event Modifications

The Organizer may modify:

• event schedule;
• performers;
• DJs;
• entertainment program;
• opening times;
• closing times;
• venue areas;
• seating arrangements;
• event format.

Such modifications shall not automatically entitle attendees to refunds.

2.10 Assumption of Risk

Attendance at nightlife, music, entertainment, and club events involves inherent risks.

Attendees voluntarily assume all ordinary risks associated with:

• crowds;
• loud music;
• lighting effects;
• strobe effects;
• dancing;
• alcohol consumption by attendees;
• interactions with other attendees.

Attendees participate entirely at their own risk.

2.11 Limitation of Liability

To the maximum extent permitted by law, the Organizer shall not be liable for:

• personal property loss;
• theft;
• damage to belongings;
• lost items;
• missed transportation;
• missed flights;
• accommodation losses;
• indirect damages;
• incidental damages;
• consequential damages.

The Organizer's aggregate liability, where legally established, shall never exceed the amount actually paid for the ticket giving rise to the claim.

2.12 Indemnification and Expense Assumption

Voluntary contributors and performers acknowledge that any costs incurred by them (including travel, equipment, materials, or personal expenses) are entirely their own responsibility. Baklava Nights shall not be liable for any costs, losses, or claims arising from voluntary community contributions.

2.13 Venue Responsibilities

The Venue Operator is independently responsible for:

• venue operations;
• alcohol service;
• security services;
• crowd control;
• health and safety measures;
• fire safety compliance;
• emergency response procedures;
• building compliance.

The Organizer does not assume responsibility for obligations legally assigned to the Venue Operator.

2.14 Media Release and Content Grant

By attending, performing at, or contributing to Baklava Nights events, all guests, performers, and contributors grant Baklava Nights a perpetual, irrevocable, worldwide, royalty-free, and fully sublicensable license to capture, use, reproduce, edit, publish, and distribute their name, image, likeness, voice, and any user-submitted photographs or video footage for commercial, marketing, and promotional purposes across all social media platforms and digital channels without further notice or compensation.

2.15 Customer Conduct

Abusive, threatening, defamatory, discriminatory, harassing, intimidating, fraudulent, or malicious conduct directed toward the Organizer, Venue, staff, contractors, performers, security personnel, partners, or attendees may result in:

• ticket cancellation;
• event removal;
• permanent exclusion from future events;
• legal action where appropriate.

2.16 Force Majeure

The Organizer shall not be liable for delays, cancellations, interruptions, postponements, restrictions, or modifications caused by circumstances beyond reasonable control, including but not limited to:

• government actions;
• public health restrictions;
• strikes;
• civil disturbances;
• terrorism;
• weather events;
• utility failures;
• venue unavailability;
• performer illness;
• technical failures.

2.17 Governing Law

These Terms shall be governed exclusively by the laws of the Republic of Bulgaria.

Any dispute shall be subject to the competent courts of Bulgaria.

2.18 Severability

If any provision is held invalid or unenforceable, the remaining provisions shall remain fully effective.

2.19 Ticketing Platform & Additional Details

• Ticketing Platform: Tickets are processed securely via Pretix.eu and Stripe. Total costs and fees are displayed before purchase.
• No Right of Withdrawal: Under Article 16(l) of the EU Consumer Rights Directive and Bulgarian consumer protection law, the 14-day right of withdrawal does not apply to event tickets purchased online for a specific date.
• Table Reservations: Event tickets do not include table reservations. Instructions for reserving tables are emailed post-purchase and subject to venue availability.
• Wristbands & Re-entry: Event wristbands must be worn at all times. Lost or damaged wristbands may prevent re-entry.

3.1 Corporate Services & Consultancy

For our B2B clients engaging in process optimization and employee engagement services:

• Confidentiality: We treat all corporate data, process documentation, and financial information shared with us as strictly confidential. We will not disclose such information to third parties without prior written consent, except as required by law.
• Scope of Work: Specific deliverables for cost optimization and employee engagement events will be defined in a separate Service Agreement. In case of conflict, the Service Agreement prevails.

3.2 Investment Scouting Services

• Informational Nature: Our investment scouting service involves identifying potential investment opportunities (e.g., at business fairs, expos, private meetings). We present these findings for informational purposes only.
• No Financial Advice: Baklava Ventures Ltd. is not a licensed financial advisor or investment bank. Nothing in our reports or communications constitutes financial, legal, or tax advice. Clients must conduct their own due diligence and consult with licensed professionals before making investment decisions.
• Liability Limitation: We are not liable for the performance or outcome of any investment made based on our findings.

3.3 Recruitment Services

• Role: We act as an external recruitment partner, collecting and curating candidate profiles (CVs) to refer them to our corporate clients. We do not guarantee job placement.
• Candidate Representations: Candidates are responsible for the accuracy of the information provided in their CVs and applications.

We are committed to protecting your personal data in compliance with GDPR and Bulgarian data protection laws.

4.1 Data We Collect

• Identity and Contact Data: Name, email address, phone number, billing address.
• Candidate Data: Professional experience, education, skills, CV/Resume files, expat status, and any other information provided during job applications.
• Payment Data: Payment information (e.g., credit card details, processed securely via Stripe).
• Order/Application Data: Ticket purchase details or job application history.
• Technical Data: IP address, browser type, device information (collected by Cloudflare for security/performance and Google Analytics for analytics, with consent).
• Corporate Data: Business process documentation, financial summaries, and employee participant lists provided by corporate clients for optimization or event purposes.
• Investment Preferences: Criteria, sector interests, and financial goals provided by clients for investment scouting.

4.2 Purpose and Legal Basis

We process your personal data for the following purposes:

• Ticket Processing & Recruitment: To fulfill your ticket purchase or process your job application and facilitate recruitment services (Legal basis: Contract performance / Pre-contractual steps).
• Sharing with 3rd Party Clients: To provide candidate profiles and CVs to potential employers (Clients) in the Bulgarian jurisdiction who are seeking to fill specific roles (Legal basis: Explicit consent or Legitimate interest in providing recruitment services).
• Event & Career Updates: To send you updates about events or relevant job opportunities (Legal basis: Legitimate interest / Consent).
• Analytics: To analyze website usage via Google Analytics, only with your explicit consent (Legal basis: Consent).
• Security and Performance: To ensure website functionality and security via Cloudflare (Legal basis: Legitimate interest).
• Legal Compliance: To comply with tax, accounting, or legal obligations under Bulgarian law (Legal basis: Legal obligation).
• Corporate Optimization & Investment Research: To fulfill service contracts for business consulting, process optimization, and investment finding (Legal basis: Contract performance / Legitimate interest).
• Employee Engagement: To organize and manage private corporate events (Legal basis: Contract performance).

4.3 Data Sharing

We share your data only with GDPR-compliant third parties:

• Third-Party Clients (Employers): For recruitment services, we share candidate data (which may be redacted/sanitized) with companies located in Bulgarian jurisdiction looking for talent. These companies act as independent data controllers once the data is transferred.
• Pretix: For ticketing services (Pretix Privacy Policy).
• Stripe: For secure payment processing (Stripe Privacy Policy).
• Google: For analytics (with consent) and data storage (e.g., Google Sheets for internal management).
• Cloudflare: For website security and performance (Cloudflare Privacy Policy).
• Investment Partners: With your explicit consent, we may share your investment criteria or interest with potential opportunities or vetted partners.

Data transfers outside the EU/EEA (e.g., to Stripe, Google, or Cloudflare in the US) are protected by Standard Contractual Clauses (SCCs).

4.4 Data Retention

We retain your personal data only as long as necessary:

• Ticket and Payment Data: Up to 12 months post-event, or longer if required by Bulgarian tax law (up to 10 years for accounting documents).
• Candidate Data (Recruitment): Up to 6 months after the recruitment process ends, unless you consent to a longer period for future opportunities.
• Analytics Data: Up to 14 months (Google Analytics).
• Technical Data (Cloudflare): Up to 30 days for security purposes.
• Corporate & Investment Data: Retained for the duration of the service contract plus 5 years for legal/business continuity purposes, or as mutually agreed.

4.5 Your Data Protection Rights

Under GDPR, you have the right to:

• Access: Request a copy of your data.
• Rectification: Correct inaccurate data.
• Erasure: Request deletion, subject to legal obligations.
• Restriction: Limit processing.
• Objection: Object to processing based on legitimate interest.
• Data Portability: Receive your data in a machine-readable format.
• Withdraw Consent: Revoke consent for analytics cookies via the cookie banner or email.

4.6 Data Security

We use robust security measures, including HTTPS encryption, secure payment processing via Stripe, and GDPR-compliant storage by Pretix, Cloudflare, and Google.

Our website uses cookies to enhance functionality and analytics:

• Strictly Necessary Cookies: For ticketing (Pretix), payments (Stripe), and security (Cloudflare's __cf_bm, retained up to 30 days). These do not require consent.
• Analytics Cookies: Google Analytics (_ga, _gid, _gat, retained up to 14 months) are used only with your consent via the cookie banner.
• Consent Records: Your consent choice is stored in the `cookieconsent_status` cookie and a Google Sheet (pseudonymous data: timestamp, status, user ID, URL) for up to 12 months.

Attendance is at your own risk. Baklava Ventures Ltd. is not liable for personal injuries, lost or stolen items, or damages unless caused by our proven gross negligence.
